These Terms apply to your use of our AI powered features within the platform (“Platform”) By accessing or using these features, you agree to these Terms, which form an agreement between you and Tally Solutions Private Limited, which shall mean and include its group entities, affiliates, and subsidiaries (“we,” “us,” or “Tally”).
We may update or modify these Terms from time to time by publishing a revised version on the platform. By continuing to use the Platform and its features, you hereby agree to be bound by the updated Terms. If you do not agree with the changes, you must stop using the Platform and its features.
The Platform is intended for use by individuals who are at least 18 years old. If you are under 18, you may not access or use the Platform.
The AI features available within the Platform are powered by machine learning and generative AI technologies. You may provide content such as documents, screenshots, invoices, receipts, bills, vouchers, captures, prompts, or queries (collectively referred to as “Inputs”) and receive AI-generated outputs in the form of responses, auto-fills and other similar services (“Responses”).
You are solely responsible for ensuring your Inputs comply with applicable laws and these Terms. By submitting Inputs, you confirm that you have the legal right to access, use, and disclose all content included. You consent to the processing of your Inputs by AI modules within the Platform. We reserve the right to reject or withhold Responses if your Inputs violate any applicable laws or are deemed inappropriate.

Your use of the Platform must comply with:
AI systems are continuously evolving and rely on several technological and operational factors including the diverse sources of information, which may not always be accurate or up to date. We do not guarantee the accuracy, completeness, or reliability of the Responses generated.
You should exercise reasonable caution and not rely solely on AI-generated Responses without qualified human review. You are advised to use your own rational judgement. We accept no responsibility for any outcomes resulting from the use of these Responses.
You may not use the Platform to:
To access and use the Platform, you may be required to provide certain information, such as your Identification details with Tally, contact details, Vouchers, receipts. You agree that all information provided is accurate, current, and truthful. If we suspect that the information is false, duplicate, or incomplete, we reserve the right to suspend or terminate your access.
Any personal information shared through your use of the Platform will be collected and processed in accordance with our Privacy Policy
All content and components of the Platform including but not limited to text, images, audio, software, designs, trademarks, service marks, trade names, and the overall look and feel are owned by Tally Solutions Private Limited or its contributors and licensors, as applicable.
All rights not expressly granted to you under these Terms are reserved by us and our contributors and licensors.

As between you and Tally, you retain ownership of the content you submit to the Platform, including your Inputs, to the extent permitted by applicable law. Tally and its contributors and licensors may use your Inputs to train the Platform or any other AI services.
We do not claim ownership of the Responses generated by the Platform. However, due to the nature of AI systems:
You agree to use the Responses in compliance with all applicable laws and these Terms. Qualified human review is recommended before relying on AI-generated content for any critical or sensitive decisions.
If you submit feedback or ideas to improve the AI platform (“Ideas”), you grant Tally the right to use, modify, and incorporate them into our products and services without compensation, permission, or attribution. You waive any moral rights and irrevocably assign all rights, title, and interest in those Ideas to Tally. If legal assignment isn’t possible, you grant Tally an exclusive, perpetual, royalty-free, worldwide license to use the Ideas in any form and for any purpose. You confirm that you have the authority to grant these rights.
AI-generated Responses may include links to external websites. These sites are not controlled by Tally, and we make no representations or warranties regarding their content or security. Links are provided for convenience only and do not imply endorsement, verification, or certification. Your use of third-party sites is subject to their own privacy policies and terms of use, which you should review before accessing them. We expressly disclaim any responsibility for harm resulting from your use or attempted use of linked sites.
You agree that your use of the Platform is at your sole risk.
The platform and its responses are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties - express, implied, statutory, or otherwise including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
We do not guarantee that:
No advice or information obtained from us, whether oral or written, creates any warranty not expressly stated in these Terms.
Data submitted to the AI system may be retained on a temporary basis solely for processing related to training & improvement purposes and is deleted once it is no longer necessary. Appropriate technical and organizational safeguards are implemented to protect the confidentiality, integrity, and security of the data during this period.
To the fullest extent permitted by law, Tally, its affiliates, licensors, suppliers, and representatives shall not be liable for any indirect, incidental, consequential, punitive, or special damages including loss of income, data, business opportunities, or device damage arising from your use of the Platform, even if advised of the possibility of such damages.
If any part of this limitation is found unenforceable, and Tally is held liable, our total aggregate liability will not exceed the sum of Rs 10,000/-
You agree to indemnify, defend, and hold harmless Tally, its affiliates, licensors, suppliers, and their respective officers, directors, employees, agents, contractors, and successors from any claims, liabilities, damages, costs, or expenses (including legal fees) arising from:

The provisions related to Disclaimer, Limitation of Liability, Indemnification, and any other clauses necessary to enforce these Terms shall survive termination of these Terms for any reason.
These Terms and your use of the Platform are governed by the laws of the Republic of India. The courts in Bangalore, Karnataka, India shall have exclusive jurisdiction over any disputes arising in connection with these Terms. You agree not to object to the transfer of any proceedings to Indian courts on grounds of inconvenience or any other basis.
