Terms and Conditions for Tally Bharat Connect for Business

These terms and conditions for Tally – BCB Services (“Terms”) are provided by Navmaya Tech Services Private Limited, a company incorporated under the provisions of the Companies Act 1956, having its registered office at 331-336, Raheja Arcade, Koramangala, Bengaluru – 560 095 (hereinafter referred to as “Navmaya”, or “we”, or “us” or “our”, which includes the holding company – Tally Solutions Private Limited, its group companies, subsidiaries, associate and affiliates),

These terms govern your (defined below and referred to as User” or “you” or “your(s)”) use and access of the Tally Bharat Connect for Business Services (“Tally – BCB Services” or “Services”).

Please read these Terms carefully as they are an electronic record in terms of the Information Technology Act, 2000 and rules thereunder as applicable and as amended from time to time.

These Terms form an integral part of and shall be read in conjunction with the Privacy Statement hosted at

By accessing and using our Services, you agree to the following terms and conditions.

1. Eligibility

To use our Services, you must:

  1. Be a registered owner or proprietor of an Entity (defined below) or should be an authorized representative of an Entity.
  2. Have the legal capacity to enter into a binding agreement.
  3. Use the Services in compliance with all applicable laws and regulations.

2. Definitions

  1. B2B ID” shall mean an identifier mapped to an individual GSTIN of an Entity, following necessary authentication.
  2. Entity” shall mean a business organization such as a sole proprietorship, partnership, company, or any body of individuals, that is validly licensed and registered in TallyPrime, properly mapped to a Permanent Account Number (PAN) and associated with one or more Goods and Service Tax identification Number (GSTIN).
  3. Electronic Instruction(s)” shall mean any communication, instruction, order, message, data, or information received by us from you via the Services or pursuant to the Service.
  4. Non-Financial Transactions” shall mean and include, without limitation, activities such status update of Transaction, of Performa invoice, purchase/sales orders, invoices, credit notes, debit notes, payment intimations and acknowledgements related to invoices, as well as adjustments made through the Tally – BCB Platform. 
  5. Tally – BCB Platform / Tally – BCB” shall mean and include a secure intermediary cloud-based back-end platform developed and owned by Navmaya to connect with Bharat Connect for Business (BCB) solution developed by NPCI Bharat BillPay Limited (NBBL). It enables seamless data exchange and secure User access for service interactions between TallyPrime as the User application and the NBBL’s systems.
  6. Tally – BCB Services / Services” shall mean and include the services that we enable for you through Tally – BCB Platform in collaboration with NPCI Bharat BillPay Limited (‘NBBL’). The Services enables you to exchange and action upon  Non-Financial Transactions, including the provision of acceptance, rejection, return etc. as well as updating of status, related to your business operations and such other value-added services as offered by us from time to time.
  7. Transaction” shall mean any transaction or operation made, performed, processed, or effected pursuant to an Electronic Instruction or otherwise through the Services by you or users authorized by you.
  8. Tally Software Services” or “TSS” shall mean and include the software subscription that offers add-on services to TallyPrime to keep User’s up to date with the latest technological developments, statutory laws and compliances. Users are provided with product upgrades and updates, connectivity driven functionalities including but not limited to online data exchange between branches, remote access, seamless banking, payment services and much more, to enhance User’s business performance.
  9. NET ID” shall mean a user identity created within TallyPrime, linked to a valid email address, used to access and manage your TallyPrime and to utilize features that require authenticated access.
  10. ERP Client Software” or “TallyPrime” shall mean the accounting and business management software developed and owned by Tally Solutions Private Limited, designed to assist businesses in managing their accounting, compliance, inventory, and financial operations. Users purchase the software off-the-shelf, and it is deployed locally on the User’s premises, server, or other designated environments.
  11. User” or “you” or “your” shall mean an individual who
  1. is a registered user in TallyPrime with a valid Tally.NET ID; and
  2. is mapped to an Entity GSTIN; and

either (i) is registered as an Owner or Administrator of an Entity, or (ii) has been duly authorized by the Owner or Administrator of an Entity, following all required authentication and verification procedures.

3. Scope of Services

a. Invoice Delivery
  1. A User can either search for onboarded supplier or customers or invite their suppliers or customers to join the Tally - BCB Platform. Users may initiate the process of sending or receiving invoices, either individually or in bulk, provided the suppliers or customers holds a valid and active B2B ID issued upon successful onboarding and registration for Tally - BCB services.
  2. User may take appropriate actions such as closing, abandoning, or cancelling an invoice or accepting/rejecting a payment acknowledgement request. The status of these actions will be updated in real time on the Tally – BCB Platform.
  3. Users acknowledge that an invalid or incomplete invoices will not be processed or considered on the Tally – BCB Platform.
b. Payment Confirmation
  1. Once an invoice is accepted, the user can initiate and complete payment for that invoice using any of the payment methods available at your end. We assume no liability for any errors or delays in processing or settlement of funds to your suppliers.
  2. You shall (i) ensure all invoice details submitted via the Tally – BCB Platform are accurate and complete; and (ii) refrain from submitting any fraudulent or illegal transactions; and (iii) be solely responsible for managing and resolving any disputes, refund requests, or other claims related to with invoices, bills and transactions submitted by your customers and suppliers through the Tally – BCB Platform.

4. Pre-requisites for Onboarding on Tally – BCB Platform

  1. To use the Services, you must have an active TSS subscription and be granted sufficient rights to use the Tally – BCB Services. You must use your existing Tally.Net ID or create a new one (linked to your email) and provide your mobile number as an additional form of authentication.
  2. TallyPrime is client software, i.e., meaning all the data generated or managed through TallyPrime is under your exclusive control. You should ensure to keep your TallyPrime updated with the latest versions. Any deployment of extensions or external add-ons on TallyPrime shall be at your sole discretion.

5. Onboarding on Tally – BCB Platform

  1. At present, you have access to initiate and complete Non-Financial Transactions on the Tally – BCB Platform.
  2. Users are required to verify their identity through multi-factor authentication, using their Tally.Net ID along with an OTP sent to their registered mobile number.
  3. During onboarding, the User is required to have pre-loaded the company data for the Entity they intend to register.
  4. To register for the Tally – BCB Services, some basic business information, including minimum Know Your Customer (KYC) details like PAN and other business identifiers, is necessary. At the initial stage, the entity can only register using GSTIN as its identifier.
  5. To complete the registration process, the Entity/User must verify their ownership of GSTIN via OTP validation triggered on the registered mobile number and email address followed by the Entity’s GSTIN validation.
  6. You or the Entity you represent consent to our use of your Onboarding Information to verify your identity, run KYC checks, and set up multi-factor authentication. We may use third-party services to confirm details like GSTIN, mobile number, email, and PAN. Once we complete KYC, you shall be onboarded, and the Services will be activated.
  7. Your access to Tally - BCB Services will be linked to an Entity identified by its PAN and mapped to a GSTIN. After on-boarding, you may access multiple GSTINs, provided you successfully complete OTP validation as described in sub-clause (e) above.
  8. User/Entity may access only non-financial transactions upon completion of minimum KYC. To access financial transactions, including sending/receiving payments and financing, the User/Entity must complete Full KYC with a regulated entity (e.g., Bank). The Tally – BCB Platform may restrict or suspend such access until Full KYC is completed. If any regulator or regulated entity requires Re-KYC or additional documents, the User/Entity shall promptly comply, failing which access to financial transactions may be suspended or terminated.
  9. We may deny onboarding if (i) your Onboarding Information is incorrect or incomplete; or (ii) a regulator or government authority such as NBBL or the sponsor bank directs us to do so; or (iii) at our sole discretion, provided we have reasonable grounds.

6. Change Management

  1. To revoke, amend, or change an End User’s access to the Tally – BCB Platform, the User (being either the owner or administrator of TallyPrime) – must perform the necessary changes / modifications / revocations / deletions after completing the required authentication checks both within TallyPrime and at the Entity level on the Tally – BCB Services. We shall assume no responsibility for such changes effected by the User.
  2. Further for the purposes of Re‑KYC / change of User for the Entity, you should ensure that all updates, including mobile number and GST details, are promptly communicated and kept current.

7. User Responsibilities

When using or accessing the Services, you agree to:

    1. keep your account, password, and related details confidential.
    2. verify and take responsibility for any data you provide through the Services.
    3. notify and inform us if you suspect unauthorized access, incorrect or unauthorized Transaction not limited to registration management, Invoices, credit/debit note, Sales/Purchase order, Performa Invoice, payment confirmations or acknowledgments, or any security breach on your account.
    4. provide true, accurate, current, and complete information about yourself and your use of the Services as required by us.
    5. update us in the event of change in your credentials, contact info, or authorized users. Any omission in keeping us informed may lead to unauthorized activity which shall not be our responsibility.
    6. share information which is true, current, and complete.
    7. use the Services lawfully.
    8. cooperate with our requests for information with respect to your eligibility and use of the Services.
    9. provide any information we need to assess your compliance or to meet regulatory requirements.
    10. not transact using a name or business identity that does not belong to you, isn’t registered with us or is already registered by someone else.
    11. explicitly allow us to collect and share your information with NBBL, third-party service providers, or intermediaries as needed to deliver the Services.
    12. be responsible for maintaining your own setup (hardware, software, security) used to access the Services.

8. Our Obligations

  1. We will ensure that all your information is secure and held confidentially.
  2. We will ensure that all Electronic Instructions that you send through us is effectively and accurately transmitted ‘As Is’ to NBBL.
  3. In the event of a Transaction failure or a dispute, we will support you to the maximum extent possible with the relevant information and guide you through the appropriate channels.

9. Electronic Instructions

  1. We shall act upon all Electronic Instructions sent by you via Tally – BCB Platform, if received by our system hosting the Services. We shall treat all Electronic Instructions initiated in the Tally – BCB Platform as instructions authorized by you and shall be binding upon you.
  2. We may, however, choose not to process Electronic Instruction (or may not process such Electronic Instruction in a timely manner) if we have reason to suspect that there is any error, fraud, or forgery, or if we are of the view that it is inaccurate or incomplete.
  3. All responsibility under this clause for safe and accurate transmission of Electronic Instructions shall be with the User.

10. Temporary or Permanent Suspension

We may, with or without any prior notice to you, suspend your or any of your end user’s right to access or use the Services immediately, if we reasonably determine that:

  1. Such use:
    1. Poses a security risk to the Services or any third party,
    2. Could adversely impact our systems, or the Services,
    3. Could subject us, our affiliates, or any third party to liability,
    4. Could be fraudulent,
    5. Is in material breach of these Terms, or
    6. Is in violation of applicable laws, rules, and regulations.
  2. We have been directed or are in receipt of an order/notice from NBBL or any regulatory body, government authority, court, judicial, or quasi-judicial body to restrict the provision of Services.
  3. the number of disputes in respect of transactions initiated through the Services exceed the limit acceptable to us.
  4. There have been multiple attempts or incorrect passwords or OTPs to access the User account or Tally – BCB Platform.
  5. You have ceased to operate in the ordinary course, made an assignment for the benefit of creditors or similar disposition of your assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution, or similar proceeding.

11. Fees and Payments

Availing our Tally – BCB Services may be subject to payment of applicable fees. This will be communicated to you from time to time.

12. Data Privacy and Security

  1. We are committed to safeguarding your personal information and strictly adhere to all the applicable data privacy laws and regulations.
  2. We undertake that the data shared via the Services are securely stored and transmitted, subject to applicable regulations. Further, we implement the best practices in data security for any information exchanges with NBBL, third party service providers and other financial intermediaries.
  3. Additionally, we may place necessary restrictions on the Services, as we may deem appropriate, for mitigating any risks and safeguarding the Services.

13. Confidentiality

  1. For the purposes of these Terms, “Confidential Information” means any non-public information relating to the Services (including our Intellectual Property Rights, trade secrets, know-how, formulas, source code, inventions) disclosed to you or in your possession.
  2. You will maintain confidentiality and not release, alter, disclose, or copy such Confidential Information without our prior written consent. Take utmost precautions to protect the confidentiality of such information.

14. Intellectual Property

  1. All content, software, and technology used in providing the Services are the property of Navmaya Tech Services Private Limited and its affiliates.
  2. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for accessing and using them.
  3. The IPR should not be reverse engineered, copied, reproduced, distributed, transmitted, or otherwise exploited without our prior written consent.

15. Third-Party Services

  1. Our Services may provide links to third-party services or content. We do not endorse, control, or assume responsibility for any third-party service.
  2. Third-Party services may be used by you at your discretion. Third – Party services are governed by independent terms and conditions accompanying such Third-Party services and it is advisable that you review them and use your best judgement before availing such third-party services.

16. Limitation of Liability

  1. We, NBBL, and our third – party services provider disclaim all warranties, conditions and representations of any kind, whether express, implied or collateral, including, but not limited to the Services being secure or error free or will operate without interruption or will be provided in a timely or proper manner or at all.
  2. The Services are provided on an ‘As-is’ and ‘As-available’ basis and all warranties unless stated here are expressly denied by us or NBBL.
  3. Though we take utmost care in providing the Services, it may not be completely error free or without interruption. There may be certain inherent risks in using the Services such as transmission errors which the Users acknowledge while availing the Services.
  4. We shall not be held liable for any indirect, consequential, special or punitive loss or damage arising from the provision of the Services or things beyond our reasonable control.
  5. Further, it is to be noted and acknowledged that we cannot be held responsible for actions and instructions which originate from the User and where the User is required to exercise due care and diligence while availing the Services.
  6. Notwithstanding anything contained in these Terms, our maximum aggregate liability arising out of or in relation to these Terms, shall be limited to INR 10,000 (Indian Rupees Ten Thousand Only).

17. Indemnification

You agree to keep us indemnified and hold harmless from and against any and all liability (including but not limited to liabilities, judgments, damages, losses, claims, costs and expenses) or any other loss that may occur, arising from or relating to any claim, suit or proceeding brought against us by another user/ service provider/ third party for reasons including, but not limited to your breach, non-performance, non-compliance or inadequate performance by of any of the terms, conditions, representations, obligations or warranties under these Terms.

18. Termination

  1. We may terminate the Services immediately without notice to you in any of the following circumstances: (1) if the conditions stipulated in the Temporary or Permanent Suspension have been established by us; or (2) if we discontinue our association with the Sponsor Bank; or (3) if NBBL or any regulatory body, government authority, court, judicial, or quasi-judicial body notifies us or is of the opinion to terminate your access to the Services.
  2. You agree that the Service will be inaccessible if the TallyPrime is not valid or TSS is not renewed or upgraded.
  3. Upon termination, your right to use the Services will immediately cease.

19. Force Majeure

We shall not be held liable for any breach of these Terms due to any force-majeure event that prevents or delays performance of its obligations under these Terms such as lock down, pandemic, endemic, act of god, fire, lightning, explosion, flood, adverse weather conditions, power failures, failure in any communication systems, equipment breakdown, strikes, lock-out or any other cause beyond our control (“Force Majeure Events”). However, we shall make all reasonable efforts to notify you in the event of such Force Majeure Events.

20. Changes to Terms

We reserve the right to modify these terms at any time. We may update these terms from time to time. Any changes will be posted on our website and communication with such updates may be sent to you at your registered email address. Your continued use of the Services after such revisions will constitute your acceptance of the new terms.

21. Governing Law, Dispute Resolution and Jurisdiction of Courts

These terms shall be governed by and construed in accordance with the laws of the Republic of India. In the event of any dispute/claims arising out of or in connection with these Terms, the said dispute/claim shall be resolved amicably at the first instance within 30 (thirty) business days by the Parties. Thereafter, any dispute pertaining to the terms and conditions of this Agreement which cannot be settled amicably within the aforesaid period shall be settled by a sole arbitrator to be appointed by mutual agreement of the Parties. The place of arbitration shall be Bengaluru, Karnataka. The language of the arbitration shall be English. Any award of the arbitrator whether interim or final shall be subject to the jurisdiction of the courts in Bengaluru alone.
